Terms of Service

These Terms govern your use of wpmedicaldirectory.com and your purchase and use of the WP Medical Directory plugin (“the Plugin”), a product of I Need Leads LLC, 30 N Gould St, Ste N, Sheridan, WY 82801. By starting a trial, creating an account, or purchasing a license, you agree to these Terms.

1. What your license includes

Licenses are sold as annual plans covering 1, 5, or 25 websites. Every plan includes the same features; plans differ only in the number of sites the license may be active on. An active license includes plugin updates, license keys, and support for the license term.

2. Purchases, seller of record, and taxes

Purchases are processed by Freemius, Inc., our merchant of record and authorized reseller. Freemius handles payment, invoicing, and applicable sales tax or VAT, and its checkout terms apply to the payment transaction. Prices are in USD and billed annually.

3. Trial

The 14-day trial requires no payment card. At the end of the trial, premium functionality stops unless you purchase a license.

4. Refunds

We offer a 14-day money-back guarantee on new license purchases, described in our Refund Policy. The Refund Policy is part of these Terms.

5. If your license lapses

If your license expires or is cancelled after purchase, the public directory you built keeps rendering. Access to premium admin features, plugin updates, and support ends with the license term. We recommend keeping licenses current for security updates.

6. Acceptable use of licenses

You may not: share license keys beyond the site count of your plan; use one license across more sites than purchased; resell, sublicense, or transfer keys except that agencies may deploy client sites within their plan’s site count; use the site or Plugin to violate law; or attempt to circumvent license validation.

7. Code license and intellectual property

The Plugin’s code is licensed under GPL-2.0-or-later. Your annual fee purchases access to official releases, updates, license keys, and support — not the copyright to our trademarks, branding, documentation, or website content, which remain the property of I Need Leads LLC. “WP Medical Directory” and “The Provider Graph Method™” are trademarks of I Need Leads LLC. WordPress is a trademark of the WordPress Foundation; we are not affiliated with or endorsed by the WordPress Foundation.

8. No PHI; no Business Associate Agreements

The Plugin is designed to operate without collecting Protected Health Information, and our support team must never receive PHI. Do not send patient data, database exports containing patient data, or PHI of any kind in support requests. We do not sign Business Associate Agreements and are not a business associate under HIPAA.

9. Compliance disclaimer

THE PLUGIN’S ACCESSIBILITY AND REGULATORY DESCRIPTIONS (INCLUDING WCAG 2.1 AA, ADA, SECTION 504, AND HIPAA-SCOPE STATEMENTS) DESCRIBE HOW THE PLUGIN IS BUILT. THEY ARE NOT LEGAL ADVICE, AND USING THE PLUGIN DOES NOT BY ITSELF MAKE YOU OR YOUR ORGANIZATION COMPLIANT WITH ANY LAW OR STANDARD. YOUR THEME, CONTENT, MODIFICATIONS, AND OTHER PLUGINS AFFECT YOUR SITE’S CONFORMANCE. VERIFY YOUR OBLIGATIONS WITH QUALIFIED COUNSEL.

10. Warranty disclaimer and limitation of liability

EXCEPT AS EXPRESSLY STATED, THE SITE AND PLUGIN ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, I NEED LEADS LLC’S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE PLUGIN WILL NOT EXCEED THE LICENSE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Some states do not allow certain limitations, so parts of this section may not apply to you.

11. Accounts, termination, changes

You are responsible for your account credentials. We may suspend accounts that violate these Terms. We may update these Terms with notice by posting a new effective date; continued use after changes is acceptance.

12. Governing law and disputes

These Terms are governed by the laws of Wyoming, and any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, on an individual basis only and not as a class or representative action; judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring a qualifying claim in small-claims court in Sheridan County, Wyoming.
